1. Terms
Sangon Biotech will deliver the agreed upon quantity of purified target protein, in the chosen expression system, to the customer. Final product will be stored in regular buffer (Tris-HCl, PBS etc). Along with the final purified protein, Sangon Biotech will provide related quality documentation as outlined in the protein order form. All documentation will be sent in hard copy with the final product and electronically via email.
No protein expression and purification project is initiated without a purchase order or credit card number. Sangon Biotech accepts credit card (Visa or MasterCard), cheque or wire as payment methods. Payment term is net 30 days. A 50%, non-refundable, start up fee is required upon project initiation.
2. Turnaround
Sangon Biotech will make its best effort to ship the purified protein as soon as it is ready but the outlined turnaround time is an estimate and the actual time may vary depending on the project. Sangon Biotech will provide the customer with an estimate of the completion date before initiating the project.
3. E.Coli Expression Services
The expression services have the following features:
3.1 The customer provides the plasmid or the expression strain; or the gene is synthesized by Sangon Biotech for an additional charge.
3.2 The size of the target protein is usually <100KDa
3.3 In some rare cases, in order to facilitate expression, Sangon Biotech may try different tags and the final protein product may contain such tag.
3.4 The final purified protein is tag-containing.
3.5 Sangon Biotech guarantees the protein to be soluble, but does not guarantee the bioactivity or functionality. If the target protein expresses as an inclusion body, refolding will be done to make it soluble.
3.6 If Sangon Biotech fails to deliver the guaranteed amount due to the nature of the protein or other unpredictable circumstances, only the set up fee will apply.
4. Functionality of Purified Protein
Sangon Biotech cannot guarantee the activity or functionality of the purified protein but Sangon Biotech will use the most suitable method to preserve a protein’s functionality.
5. Protein Analysis
Standard QC methods include SDS-PAGE and Western Blot (if desired). Western-blot can only analyze seven samples each time in addition to controls and markers. Sangon Biotech will provide one free Western-blot analysis. If customer requires more than one, extra charges will apply. Sangon Biotech will provide the primary anti-His-tag antibody. If an antibody other than the anti-His-tag antibody is required, the customer needs to provide Sangon Biotech with the specific antibody. There are many factors affecting Western-blot analysis, Sangon Biotech can not guarantee that there is not a false positive/negative result. If the result is abnormal, Sangon Biotech can provide another Western-blot analysis free of charge.
6. Proteins that Fail To Be Expressed and Purified
Sangon Biotech makes its best effort to express and purify the target protein. Should Sangon Biotech be unsuccessful in purifying the target protein (due to sequence instability, toxicity, hydrophobicity, etc.), the minimum 50%, non-refundable, start-up fee will apply.
7. Cancellations
For any protein, the customer may cancel the order after reaching an agreement with Sangon Biotech:
7.1 If Sangon Biotech has received the order but has not initiated the project; the customer is entitled to cancel of the order without any penalty.
7.2 If Sangon Biotech has prompted protein expression and purification; the customer may cancel the order, however, the customer is obligated to pay a penalty cost depending on the stage or status of the project.
7.3 If Sangon Biotech has obtained the target protein and completed the project; the customer may cancel the order, however, the full amount will be paid to Bio Basic Inc.
8. Patents
Sangon Biotech serves as a service provider and offers synthesis services of sequences provided by the customer. It is the sole responsibility of customer to verify whether their respective work is result of any infringements of any patents. Sangon Biotech expressly disclaims any liability in this regard.
9. Inspection Policy
Upon receipt of shipped goods, customer shall inspect the shipment promptly for damages, shortages and correct identity of the product. Any product that is not identical to the requested protein will be replaced or authorized for return and credit, at our option. Any claims must be submitted within 3 months of shipment.
10. Warranty
Sangon Biotech guarantees 100% accuracy and match of the protein requested. Any claims must be submitted within 3 months of shipment. Sangon Biotech reserves the right to refuse handling disputes after a period of 3 months.
11. Usage
Sangon Biotech products are used exclusively for scientific research purposes only. Materials will not be used for human or animal consumption.

LIMITED LICENSE AGREEMENT FOR HUMAN GENEPOOL FULL-LENGTH GENES

Sangon Biotech’s mission is to provide biological and biomedical researchers with cost effective technologies and services at the highest possible quality.
Human genePoolTM Clones are typically derived from cDNA library clones according to the most current GenBank update. Please note, subsequent GenBank updates may show some of these cDNA clones to contain a partial or deviant sequence(s), a non-coding sequence or other artifacts.
It is highly recommended that the purchaser carefully evaluate the ORF clone sequence prior to purchase. It is the purchaser’s responsibility to check whether the sequence associated with any particular clone meets his/her scientific requirement prior to purchase.
Sangon Biotech makes no warranties, express or implied, that the manufacture, use, importation, or sale of the gene contained within any Human GENEPOOLTM clone will not infringe any third party intellectual property right.
By breaking the seal of this Product’s package, the Purchaser agrees to the following terms:
1. Scope of Agreement
(a)This Product shall only be used for research purposes. Purchaser shall not use the Product to manufacture commercial products and/or to sell services relating to or using the Product.
The resale of the Product, or any unmodified derivatives and parts thereof, in any form, including repackaged into a different vector, is strictly prohibited.
(b)Purchaser shall only have a non-transferable right to use the Product. This Limited License does not transfer ownership or title to the Product, or to any part thereof, to Purchaser.
(c) Sangon Biotech does not grant to Purchaser any license, express or implied, in violation of or infringing upon any third party rights. Purchaser is responsible for determining the existence of any such third party rights, and to acquire any such rights, should they exist, before using the Product.
(d) Sangon Biotech has no claim of any kind to any research, data, facts, information, experimental results, and/or any other embodiments generated by Purchaser using Product, with exception to activities covered by an issued patent assigned, licensed, or controlled by Bio Basic Inc.
2. Restrictions on Transfer
This Product is for single laboratory/company use only. By accepting this Product, the Purchaser agrees that the use of this Product, in whatever manner, shall be restricted to the immediate members of the company/laboratory (“single site”), which made the purchase, and shall not be distributed to any other party without Sangon Biotech’s written permission. This Product, or any progeny of it, including progeny incorporated into different vectors, shall not be made available to any other laboratory or third party. All users within the site shall be made aware of this restriction, with the full understanding that their departure from the site does not convey the right for them to transfer this Product, or unmodified derivatives thereof, to another site. This Product may contain specific identifiers to trace their origin to Sangon Biotech.
3. Not Intended for Human Use
Purchaser acknowledges and agrees that the Product is not intended for use in humans, and agrees not to conduct research with it in humans.
4. Turnaround
Sangon Biotech reserves the right to deliver final gene products within a reasonable time frame. Due to unexpected circumstances that a product is not able to be delivered, the customer will be notified. With customer’s consent, Sangon Biotech may alternatively synthesize the gene(s) or ship the best clone we may have in the collection at a discounted rate.
5. Limited Warranty
(a) This warranty limits Sangon Biotech’s liability to replacement of this Product or its purchase price. Sangon Biotech warrants that the product will meet specifications listed. At Sangon Biotech’s discretion, free replacement of any nonconforming product will be made if Sangon Biotech is notified within 30 days of product receipt. No other warranties of any kind, express or implied, including without limitation, implied warranties of merchantability, or fitness for a particular purpose, are provided by Sangon Biotech Sangon Biotech shall not be responsible for any claims, losses, costs, damages, fees, or expenses arising out of, or in connection with, the Product, including claims based on infringement or misappropriation, and including, but not limited to, any actual or alleged injury, damage, death, or other consequence occurring to any legal or natural person or property, as a result, directly or indirectly, of the possession, use or consumption of any Product, under any cause of action, regardless of the form in which any such claim is made.
(b) This Product may be protected by patent applications, patents, and/or copyrights. Sangon Biotech makes no representation or warranty as to whether the Product, and/or its uses, infringes any patent or intellectual property rights of any third party, nor shall Sangon Biotech be liable for infringement of any such rights.
If Purchaser is unwilling to accept the terms of this Limited License, return the UNOPENED Product within five (5) days of receipt to Sangon Biotech for a full refund.
